Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Nagi, a business management platform operated by [Registered Business Name], a Sole Proprietorship registered in Singapore (UEN [UEN]) (“we”, “us”, or “Nagi”). By creating an account or using Nagi, you agree to these Terms. If you do not agree, do not use the service.
1. Who may use Nagi
You must be at least 18 years old and capable of forming a binding contract. If you use Nagion behalf of a business, you represent that you are authorised to bind that business to these Terms, and “you” refers to that business.
2. Your account
You are responsible for safeguarding your login credentials and for all activity that occurs under your account, including anyone you allow to use it on your behalf. Notify us promptly at contact@nagiapp.co if you suspect any unauthorised use.
3. Subscriptions, trials, and billing
- Paid plans are offered on a subscription basis, billed monthly or annually in advance through our payment processor, Stripe.
- New businesses may receive a free trial. At the end of the trial, continued access to paid features requires an active paid subscription.
- Subscriptions renew automatically for successive periods unless cancelled before the renewal date. Prices are shown in your local currency at checkout.
- You authorise us (via Stripe) to charge your payment method for all fees due. You are responsible for any applicable taxes.
- We may change subscription prices with at least 30 days' notice; changes apply from your next billing cycle. Price changes never apply retroactively.
4. Cancellation and refunds
You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you retain access until then. After your subscription ends, your account becomes read-only: you can view and export your data for at least ninety (90) days, after which we may delete it. Except where required by law, fees already paid are non-refundable and partial periods are not pro-rated on cancellation.
5. Acceptable use
You agree not to:
- use Nagi for any unlawful purpose or in violation of any applicable law or regulation;
- attempt to gain unauthorised access to the service, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the service;
- reverse engineer, resell, or sublicense the service except as expressly permitted.
6. Your content and customer data
You retain all rights to the data you and your staff enter into Nagi, including your product catalogue, transactions, and the personal data of your own customers (“Your Data”). You grant us a limited licence to host and process Your Data solely to provide the service. With respect to the personal data of your customers, you are the data controller and we act as your data processor; our handling of that data is described in our Privacy Policy. You are responsible for obtaining any consents required from your customers.
7. Data responsibility, backups, and exports
We take commercially reasonable measures to back up the platform, but we do not guarantee that Your Data can always be recovered, restored, or reconstructed. Nagi provides export tools (such as CSV export of transactions and reports) on every plan, and you are responsible for exporting and keeping your own copies of any records that matter to your business. Nagi is not a system of record for accounting, tax, or statutory record-keeping purposes.
8. Records, reports, and your business decisions
Receipts, reports, and analytics in Nagi reflect the data you and your team enter, as entered. We do not verify your figures, and you are solely responsible for reviewing them and for your own accounting, tax (including GST), employment, and regulatory compliance. Nagi provides software, not accounting, legal, tax, or business advice, and we are not responsible for business decisions you make in reliance on it.
9. Service availability
We work hard to keep Nagi available and reliable, but the service is provided “as is” and “as available” without warranties of any kind. We do not guarantee uninterrupted or error-free operation and may perform maintenance, modify, or discontinue features from time to time.
10. Third-party services
Nagi relies on third-party providers, including Stripe for payment processing and cloud infrastructure providers for hosting. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
11. Intellectual property
Nagi, including its software, design, and trademarks, is owned by [Registered Business Name] and protected by intellectual property laws. These Terms do not transfer any ownership of the service to you.
12. Limitation of liability
To the maximum extent permitted by law, [Registered Business Name] shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, business, anticipated savings, customers, data, or goodwill, or for business interruption, however arising and even if we have been advised of the possibility of such loss. Our total aggregate liability arising out of or relating to the service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
13. Indemnity
You agree to indemnify and hold harmless [Registered Business Name] from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your handling of your customers’ data.
14. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of hosting, network, or payment providers, power or telecommunications failures, denial-of-service attacks, natural disasters, epidemics, or government action.
15. Termination
You may stop using Nagi at any time. We may suspend or terminate your access if you breach these Terms or use the service in a way that may cause harm to us or others. On termination, your right to use the service ceases. Unless we terminate for serious breach, the read-only export window in Section 4 applies; thereafter we may delete Your Data.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
17. Governing law
These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules, and the courts of Singapore shall have exclusive jurisdiction over any dispute. If you access Nagi from Malaysia or elsewhere, you remain responsible for compliance with your local laws.
18. General
These Terms and the Privacy Policy are the entire agreement between you and us regarding the service. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a sale or restructuring of the business.
